Agreement to these terms

These Terms and Conditions govern your use of the NPressive platform and the website at npressive.com, both operated by NPressive, Inc., 4062 Peachtree Rd NE, Ste A544, Brookhaven, GA 30319 ("NPressive", "we", "us").

By creating an account, subscribing to a plan, or using the Service, you agree to these terms. If you are agreeing on behalf of an organization, you confirm that you have the authority to bind that organization, and "you" means that organization.

Our Privacy policy describes how we handle personal data and forms part of this agreement.

Accounts

You are responsible for the accuracy of the information on your account, for keeping access credentials secure, and for everything done under your account. Tell us promptly at support@npressive.com if you believe an account has been compromised.

An NPressive instance is administered by the people your organization designates. Those administrators control who else can access the instance and what they can see and do. We act on the instructions of your administrators.

You must be at least 18 to hold an administrator account. Where your organization uses NPressive to hold records about minors, you are responsible for obtaining whatever consents the law requires.

Subscriptions and payment

The Service is sold on a subscription basis. Plan prices, included credits, transaction fees and billing periods are those published on our pricing page or set out in a written order between us.

Subscriptions renew automatically for the same period unless cancelled before the renewal date. You can cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current billing period, and fees already paid are not refundable except where the law requires it.

Usage beyond the credits included in your plan is billed at the published overage rate. Payment processing fees charged by our payment processor are additional to subscription fees.

We may change prices. For an existing subscription, a price change takes effect at the next renewal, and we will give you at least 30 days' notice before it does.

Free trials are offered for the period stated at sign-up. We may change or withdraw a trial offer at any time. If you do not subscribe before the trial ends, access to the instance ends.

Your content and your data

Your organization's data stays your organization's. You retain all rights in the members, content, files and records you put into NPressive ("Your Content"). You grant us the licence we need to host, process, transmit, back up and display Your Content for the purpose of operating the Service for you, and for no other purpose.

You are responsible for Your Content: that you have the right to hold and use it, that it does not infringe anyone's rights, and that your use of it complies with the laws that apply to your organization, including data protection and marketing law.

You can export Your Content at any time while your subscription is active. After a subscription ends we retain the data for a limited period so you can retrieve it, then delete it. Contact us if you need a copy after that window.

Acceptable use

You may not use the Service to:

• send unsolicited bulk email or SMS, or any message that breaches anti-spam law in the recipient's jurisdiction;
• upload or distribute malware, or attempt to gain unauthorised access to the Service, another customer's instance, or the systems behind either;
• interfere with or place an unreasonable load on the Service;
• store or transmit content that is unlawful, defamatory, or infringes someone else's rights;
• resell or make the Service available to a third party that is not part of your organization, except as we have agreed in writing.

We may suspend an account that is causing harm to the Service or to other customers, and we will tell you why.

AI features

Navigator and the other AI features work with the data already in your instance. They produce drafts and suggestions; nothing is sent, published or charged until someone in your organization approves it. Review AI output before you act on it. We do not warrant that it is accurate or complete.

Availability and support

We work to keep the Service available, but we do not promise uninterrupted service. We may take the Service down for maintenance, and will give notice where we reasonably can.

Support is provided during business hours, Eastern time, at the level included in your plan or in a separate support agreement.

Third-party services

The Service integrates with third-party services, including payment processing through Stripe. Your use of those services is governed by their own terms, and we are not responsible for them.

Intellectual property

The Service, the software behind it, and the NPressive name and marks are ours and remain ours. These terms grant you a right to use the Service during your subscription, not ownership of any part of it. Feedback you send us may be used freely to improve the Service.

Disclaimers and limitation of liability

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties not expressly stated here, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of or relating to these terms will not exceed the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law.

Indemnity

You will indemnify us against third-party claims arising from Your Content or from your use of the Service in breach of these terms, and we will indemnify you against third-party claims that the Service as we supply it infringes their intellectual property.

Termination

You may stop using the Service and cancel your subscription at any time. We may terminate or suspend your access if you materially breach these terms and do not fix the breach within 30 days of us telling you about it, or immediately where the breach is one that cannot be fixed.

On termination, your right to use the Service ends and the data retention terms above apply.

Changes to these terms

We may update these terms. Where a change is material we will give notice by email or in the platform before it takes effect. Continuing to use the Service after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law rules. The courts of Georgia have exclusive jurisdiction over disputes arising from them.
